Terms of Service

1. Acceptance of Terms

By accessing or using LocalAI (the "Service"), provided by CORDOC LLC ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

These Terms apply to all users of the Service, including the browser extension and web application at localai.im.

2. Service Description

LocalAI provides AI-powered tools including mindmap generation, flashcard creation, text summarization, translation, and other productivity features. The Service operates in two modes:

• Local AI Mode (Free): AI processing runs 100% on your device using WebGPU technology. No data is sent to external servers. This mode is free forever.
• Cloud AI Mode (PRO): Optional cloud-based processing using your own API key (BYOK) for users who prefer cloud processing or lack local hardware support.

3. Account Registration

Account creation is optional. You can use LocalAI's local AI features without an account. If you choose to create an account:

• You must provide accurate and complete information
• You are responsible for maintaining the security of your account
• You must be at least 13 years old to create an account
• You may not create accounts for others without permission
• We reserve the right to suspend accounts that violate these Terms

4. PRO Subscription

The PRO plan ($19/year) includes additional features:

• Cloud Prompt Sync: Store and sync prompts across devices
• BYOK (Bring Your Own Key): Use your own Gemini API key for cloud processing
• Document Uploads: Upload documents for AI processing
• Page Extraction: Extract and process web page content

4.1 Billing

• Subscriptions are billed annually in advance
• Subscriptions auto-renew unless cancelled before the renewal date
• Prices are in USD and may be subject to applicable taxes
• Payment is processed securely by Stripe

4.2 Cancellation

• You may cancel your subscription at any time via Settings
• Cancellation takes effect at the end of the current billing period
• You retain access to PRO features until the subscription expires
• No partial refunds for unused subscription time

4.3 Refunds

Refunds are available within 14 days of purchase if you have not used PRO features. To request a refund, contact support@localai.im with your account email and reason for refund.

5. BYOK (Bring Your Own Key) Terms

When using BYOK mode with your own Google Gemini API key:

• You provide and are responsible for your own Google Gemini API key
• Content is sent directly to Google's Gemini API for processing
• You are solely responsible for any API usage costs from Google
• Your API key is encrypted (AES-256-GCM) before storage
• Processing is subject to Google's terms of service and privacy policy
• We do not access, read, store, or log the content you process through BYOK

6. User Content

You retain all ownership rights to content you create or process using LocalAI.

• For local processing, content never leaves your device
• For cloud processing (BYOK), content is sent to Google's API and subject to their terms
• We do not claim any ownership of your content
• We do not use your content to train AI models

6.1 Prohibited Content

You may not use the Service to process content that:

• Violates any applicable law or regulation
• Infringes on intellectual property rights of others
• Contains malware, viruses, or harmful code
• Is intended to harass, abuse, or harm others
• Contains child sexual abuse material (CSAM)

7. AI-Generated Content Disclaimer

AI-generated content may contain errors, inaccuracies, or biases. You acknowledge that:

• AI output should be reviewed and verified before use
• AI is not a substitute for professional advice
• Do not rely on AI output for medical, legal, financial, or other professional advice
• We do not guarantee the accuracy, completeness, or reliability of AI-generated content
• You are responsible for how you use AI-generated content

8. Intellectual Property

The Service, including its design, features, and functionality, is owned by CORDOC LLC and protected by intellectual property laws. You may not:

• Copy, modify, or distribute the Service without permission
• Reverse engineer or decompile the Service
• Remove any copyright or proprietary notices
• Use our trademarks without written permission

You agree to indemnify and hold harmless CORDOC LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Content you process through the Service

11. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may terminate your account at any time by:

• Uninstalling the browser extension
• Deleting your account via Settings
• Contacting support@localai.im

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, and limitations of liability.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved in the courts of Wake County, North Carolina, and you consent to the personal jurisdiction of such courts.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting updated Terms on this page
• Updating the "Last Updated" date
• Sending email notification for significant changes (if you have an account)

Your continued use of the Service after changes constitutes acceptance of the modified Terms.
